Automated Summary
Key Facts
The case involves Triostar Logistics Limited and four other petitioners challenging Kenya Ports Authority's cargo allocation practices. Autoports Freight Terminal and Compact Freight Systems Limited applied to be joined as interested parties, arguing their role as licensed Container Freight Stations (CFSs) and involvement in related litigation (Petition E002 of 2023) necessitates their participation to address overlapping issues. The court granted their joinder and ordered the case transferred to Nairobi for consolidation with Petition E002 of 2023 to avoid conflicting rulings. The petitioners opposed the applications, claiming the joinder attempts expanded the cause of action and were irrelevant to the core constitutional rights issues under Articles 47 and 50.
Issues
- The court evaluated the applicants' compliance with the legal requirements for joinder as interested parties, including demonstrating a clear legal interest, potential prejudice from non-joinder, and the relevance of their submissions to the proceedings.
- The second applicant requested the case be moved to Nairobi to consolidate with Petition E002 of 2023. The court ruled that while an interested party cannot seek transfer, it was appropriate to order the transfer for consolidation purposes.
- The court considered if the issues in this case align with those in Petition E002 of 2023, which involves similar claims about cargo handling and the risk of contradictory rulings from different courts.
Holdings
- The court allowed the applications for joinder of Autoports Freight Terminal Ltd and Compact Freight Systems Ltd as interested parties, finding they demonstrated sufficient personal interest and potential prejudice. The applicants, licensed Container Freight Stations (CFSs), argued their interests in the dispute over cargo allocation and handling by Kenya Ports Authority, as well as their involvement in a related pending petition (E002 of 2023). The court concluded their participation was necessary to address overlapping issues and avoid contradictory orders.
- The court ordered the transfer of the petition to the High Court in Nairobi for consolidation with Milimani High Court Commercial Petition No E002 of 2023. While the second applicant (Compact Freight Systems) requested the transfer, the court emphasized that an interested party cannot unilaterally seek drastic orders like transfer. However, based on the similarity of subject matter between the two petitions, the court exercised its own motion to consolidate the cases.
Remedies
- This Petition is transferred to the High Court, Nairobi, for consolidation with Milimani High Court Commercial Petition No E002 of 2023, which involves similar issues regarding cargo handling and warehousing for South Sudan.
- The costs of the application are ordered to be in the cause, meaning the court will determine who bears the costs as part of its decision.
- The applicants are granted leave to respond to both the petitioner's Notice of Motion dated 3rd April 2024 and the Petition filed herein.
- The court grants leave to Autoports Freight Terminal Ltd and Compact Freight Systems Ltd to be enjoined as interested parties in the proceedings to fully participate.
Legal Principles
The court applied the criteria for joinder of interested parties under the Mutunga Rules, requiring applicants to demonstrate (1) a personal interest in the proceedings, (2) prejudice from non-joinder, and (3) relevance of their submissions. It also addressed the doctrine of acta jure imperii (sovereign immunity) in relation to the transfer of cases and the principle that an interested party cannot seek drastic procedural orders like transfer unless the court initiates it.

Passage Text
- I am therefore satisfied that the applicants have demonstrated sufficient interest in this suit to warrant their joinder as well as the prejudice they stand to suffer in the event of non-joinder.
- By parity of reasoning, it is my finding that it is not open to the 2nd applicant to seek the transfer of this Petition to Nairobi as it purported to do in Prayer 3 of its Notice of Motion dated 18th April 2024. Nevertheless, a transfer under Rule 8 of the Mutunga Rules is also permissible on the Court's own motion.
