Automated Summary

Key Facts

Kenya Walking Survivors Safaris Ltd, a tour company incorporated in 2009, sought voluntary liquidation under the Insolvency Act due to inability to pay debts totaling Kshs.2,681,430. The court found the company insolvent with liabilities exceeding assets, noting debts to creditors including Kshs.728,950 owed to Rosita Investments Limited, USD 67,000 to Zanzibar Ocean Blue Hotel, and USD 22,713 to Aviad Horev. The petition was filed by director Otieno Lysaniash Onjwayo on 1 August 2019, supported by audited financial statements (2016-2018) and creditor demand letters. Rosita Investments opposed the petition, claiming an amicable settlement agreement and partial payment (Kshs.60,000) had been made, but the court determined liquidation was justified under sections 384(2) and 424(1)(g) of the Insolvency Act.

Issues

  • The secondary issue centered on the Respondent’s contention that the Petitioner approached the court with 'tainted hands,' concealing crucial information about asset dispositions and prior settlement agreements, thereby violating Section 427(4) of the Insolvency Act which prohibits liquidation if it is an abuse of the process or in bad faith.
  • The primary issue was determining if the Petitioner company satisfied the statutory requirements for liquidation under Section 424(1) of the Insolvency Act, particularly its inability to pay debts as outlined in Section 384(1)-(2). The Court evaluated whether the company’s liabilities exceeded its assets, whether statutory demands were unmet, and whether the petition was filed in good faith or as an abuse of process.

Holdings

The court granted the petition for the liquidation of Kenya Walking Survivors Safaris Ltd under the Insolvency Act, determining that the company is unable to pay its debts and that it is just and equitable to proceed with liquidation. The court found the petitioner's inability to meet financial obligations to creditors, including Kshs.2,681,430 in liabilities, satisfied the legal criteria for insolvency as outlined in Sections 384 and 424 of the Insolvency Act. The petition was filed by the company's director, Otieno Lysaniash Onjwayo, and supported by financial documents demonstrating insolvency.

Remedies

  • The Court ordered the appointment of an official receiver as the provisional liquidator for the company.
  • The Court may issue any additional orders deemed just in the circumstances.
  • The Court granted the petition for the liquidation of Kenya Walking Survivors Safaris Limited under the provisions of the Insolvency Act.

Passage Text

  • Section 424(1) of the Insolvency Act, sets out the circumstances in which a company may be liquidated by the court... (e) The company is unable to pay its debts; ... (g) The Court is of the opinion that it is just and equitable that the company should be liquidated.
  • In my view the Petitioner is unable to pay its debts given that it is indebted to the Respondent for over Kshs.100, 000 while also taking into consideration the demand letters from the other creditors as well. There is USD 9180 owed to Samuel Ng'ang'a, USD 67, 000 owed to Zanzibar Ocean Blue Hotel Tanzania and USD 22713 owed to Aviad Horev of Safari World, Israel.
  • In light of the above I am satisfied that the Petitioner is unable to pay its debts. Having considered the Petition and the supporting documents attached thereof, it is just to grant the orders sought. The petition for liquidation of the Company is granted.
